Matchmaker Confidentiality Agreement
This Agreement is between you (the "Matchmaker") and The Matchmaking Network (the "Network"). By submitting an application or accessing any member information through the Network, you agree to be bound by every provision below.
The Network operates strictly as a middleman. Once a member of the Network (each, a "Member") consents to an introduction through the Network's intro-request flow, the Network will provide you with the Member's contact information so you can engage with the Member directly. From that point, your relationship with the Member — including the terms governing how you may use the Member's information — is between you and the Member. The Network is not a party to that relationship, to your relationship with your own client, or to any agreement you reach with either.
1. Confidential Information
"Confidential Information" includes, without limitation, any and all information about a Member that you receive, view, or otherwise access through the Network, including but not limited to:
- Photographs, headshots, social media handles, or any image of a Member.
- Full name, last name, initials, or any combination that could identify a Member.
- Place of employment, employer name, job title, industry, or business address.
- Educational institutions, schools, colleges, universities, or graduation years.
- Home address, neighborhood, ZIP code, or other location data.
- Phone numbers, email addresses, or any direct contact information.
- Family details, religion, ethnicity, health status, financial details, or relationship history.
- Any preferences, notes, or written communications shared inside the Network.
2. Use of Confidential Information
You agree that you shall not, directly or indirectly:
- Post, publish, share, forward, screenshot, screen-record, print, or otherwise display any Member's photo, name, employer, school, or any other Confidential Information on any website, social media platform, blog, marketing material, group chat, newsletter, podcast, video, or other public forum.
- Disclose any Member's Confidential Information to any third party — including any vendor, contractor, family member, friend, business partner, or your own client — except in a manner the Member has expressly agreed to (see Section 3).
- Use any Member's Confidential Information for any purpose other than matchmaking — meaning, evaluating a potential introduction inside the Network and, after an introduction, presenting or facilitating a potential match between the Member and your own client. Use for any other purpose — including without limitation marketing, advertising, recruiting, training data, analytics, sales, lead generation, networking, or any service unrelated to matchmaking — is prohibited, even if the Member has otherwise consented to share their information with you.
- Aggregate, scrape, export, copy, mirror, or store Member data outside the Network's platform, whether by automated means or otherwise.
- Retain Member Confidential Information after the Member or the Network has revoked your access to it.
3. After an Introduction
Once a Member consents to an introduction through the Network's intro-request flow, you may contact the Member directly using the contact information the Network supplies. You and the Member are responsible for negotiating the terms that govern your direct working relationship, including any further sharing with your own client.
You may use a Member's Confidential Information — including sharing it with your own client for the purpose of presenting a potential match — only (a) for matchmaking, as defined in Section 2, and (b) in ways the Member has expressly agreed to, in writing. The Member's consent under (b) must be specific and explicit; general or implied consent is not sufficient. The prohibitions in Section 2 (matchmaking-only use, no public disclosure, no scraping or export from the Network, no disclosure beyond what the Member has agreed to) continue to apply at all times.
The Network is not a party to your agreement with the Member or with your client, and assumes no responsibility for the terms you negotiate with either.
4. Data Security
You will keep all access credentials confidential, will not share your account, and will promptly notify the Network of any suspected unauthorized access or disclosure. You will not download, cache, or retain Member information beyond what is necessary for an active intro or for the direct engagement the Member has agreed to.
5. Term & Survival
This Agreement begins when you submit your application and continues for as long as you have access to the Network. The obligations of confidentiality survive indefinitely after your access ends, regardless of the reason for termination.
6. Remedies & Enforcement
You acknowledge that any breach of this Agreement would cause irreparable harm to Members and to the Network for which monetary damages alone would be inadequate. The Network may, without posting a bond, seek injunctive relief, removal of any infringing content, and all other remedies available at law or equity, including reasonable attorneys' fees and costs. The Network may also immediately suspend or terminate your access without refund.
7. Indemnification
You agree to defend, indemnify, and hold harmless the Network, its officers, employees, contractors, and Members from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of this Agreement or your handling of Member information.
8. Independent Contractor
Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. You are an independent professional and are solely responsible for your own business, contracts, fees, and compliance with applicable law (including consumer-protection, data-privacy, and dating-service statutes in your jurisdiction).
9. Governing Law
This Agreement is governed by the laws of the State in which the Network is organized, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state or federal courts located in that State, and you consent to personal jurisdiction there.
10. Entire Agreement
This Agreement supplements (and does not replace) the Network's Terms of Use and Privacy Policy. In the event of a direct conflict regarding confidentiality of Member information, the stricter provision controls. Any waiver or modification must be in writing and signed by the Network.
Acknowledgment
